Buyer’s Premium: A five percent (5%) Buyer’s Premium will be added to the final bid price and included in the total purchase price.

Auction Method: The property will be offered in five (5) individual tracts and combinations of each ranch. All tracts will sell ‘Absolute’ to the highest bidder(s) the day of the auction.

Bidder Registration: All prospective bidders must register with Peoples Company and receive a bidder number in order to bid at the auction. 

Agency: Peoples Company and its representatives are agents of the Seller. Winning bidder(s) acknowledge they are representing themselves in completing the auction sales transaction.

Farm Program Information: Farm Program Information is provided by the Meade County and Perkins County Farm Service Agencies. The figures stated in the marketing material are the best estimates of the Seller and Peoples Company; however, Farm Program Information, base acres, total crop acres, conservation plan, etc. are subject to change when the farms are reconstituted by the Meade County and Perkins County FSA and NRCS offices.

Earnest Money Payment: A 10% earnest money payment is required on the day of the auction for each tract. The earnest money payment may be paid in the form of cash or good check. All funds will be held in the Peoples Company Trust Account.

Contract & Title Commitment: Immediately upon conclusion of the auction, the high bidder(s) will enter into a Real Estate Purchase Contract and deposit with Peoples Company the required earnest money payment. The Seller will furnish the successful Buyer(s) a current Title Commitment and Owner’s Policy in the amount equal to the Total Purchase Price. Seller agrees to convey merchantable title to the property. All title insurance premiums, title or abstracting fees and the title company/closing agent fees or costs shall be paid by the Seller. Sale of this farmland is not contingent upon Buyer obtaining financing. All financial arrangements are to have been made prior to bidding at the auction. By bidding, the bidder makes a representation that the bidder has the present ability to pay the bid price and fulfill the Real Estate Purchase Contract.

Closing: Closing will occur on or about July 6, 2018 at a location to be designated by the Seller. The balance of the purchase price will be payable at closing in the form of cash, certified check or wire transfer.  With respect to the timing of the Seller and successful Buyer(s) in fulfilling its obligations under the Real Estate Purchase Contract, time is of the essence.

Real Estate Taxes: The real estate taxes will be prorated between the Seller and Buyer(s) to the date of closing.

Mineral Rights: Twenty-five percent (25%) of the total mineral rights on tracts 1 and 2 of Flint Creek Ranch will be conveyed to the new Buyer(s). On tracts 3, 4 and 5 of Spook Creek Ranch, fifty percent (50%) of the total mineral rights will be conveyed to the new Buyer(s).

Wells and Water Lines: Tract 2 is serviced by a well and a water line provided from tract 1 of Flint Creek Ranch. If these tracts sell to separate owners, then the new owner of tract 1 agrees to provide water to the new owner of tract 2. The owner of tract 2 agrees to make an annual lifetime payment of $2250.00 to the owner of tract 1 on a date to be mutually agreed upon by the new owners. Each owner of tract 1 and tract 2 will be responsible for any repairs and maintenance of the well and water line on their respective property. This agreement will be recorded and will transfer with future ownership of these tracts.

Possession: Early possession of the grassland and hay ground will be given to the successful Buyer(s) of each tract at the conclusion of the auction once all documents are executed and earnest money is deposited. Full possession of the ranches will be given at closing, subject to the current tenants rights.

Possession of Houses: The executive home/headquarters will be available at closing for the new Buyer of tract 1. The two additional homes located on tract 1 are occupied by the current employees and their families and are referred to as the tenants on tract 1. The home located on tract 3 is occupied by another tenant and their family. The Buyer(s) of tract 1 and tract 3 will agree to allow the current tenants on these tracts to continue living in the houses and keep any personal property and/or machinery & equipment on the properties until September 15, 2018 at a rate of $150.00 per month. Utilities on these houses will be paid by the tenants.

Septic Systems: The septic systems servicing each of the four homes are in as-is condition and no inspections, updates or improvements will be made by the sellers.

Fences: Existing fences, if any, are in as-is condition and will not be updated or replaced by the sellers. Not all tract and boundary lines are fenced and if needed, will be the responsibility of the Buyer at closing. Existing fence lines may not fall directly on the legal boundary.

Survey: Preliminary survey work will be performed prior to the auction to determine the actual acres of tract 3 and actual acres of tract 4. This is due to the line fence separating these tracts not in relationship with the section line. If these tracts (tracts 3 and 4) are sold to separate Buyers, then a completed survey will be performed to record the actual acres and boundary separating tract 3 and tract 4. No survey will be performed on any of the remaining tracts.

Property Inspection: Each potential bidder is responsible for conducting, at their own risk, the independent inspections, investigations, inquiries and due diligence concerning the property. Inspection dates have been scheduled and will be staffed with Peoples Company agents and/or auctioneers. Each potential bidder shall be liable for any property damage caused by any such inspections or investigations.
